Why Change Company Name?
Companies often change their names to reflect a new business direction, rebranding strategy, or change in ownership. The process is governed by Section 13 of the Companies Act, 2013, and requires approval from shareholders and the Central Government (ROC).
Step-by-Step Process
1. Board Meeting
- Pass a Board Resolution to approve the name change proposal.
- Authorize a director to apply for name reservation.
2. Name Reservation (RUN)
- File an application via the RUN (Reserve Unique Name) service on the MCA portal.
- The ROC checks for availability and similarity with existing names.
- Once approved, the name is reserved for 20 days (or 60 days if applied via specific forms).
3. Extraordinary General Meeting (EGM)
- Call an EGM with 21 days' notice.
- Pass a Special Resolution (75% shareholder approval) for the name change and alteration of MOA/AOA.
4. ROC Filings
- File Form MGT-14 with the ROC within 30 days of the Special Resolution.
- After MGT-14 approval, file Form INC-24 for the Central Government's approval of the name change.
5. New Certificate
- Upon satisfaction, the ROC issues a new Certificate of Incorporation (Form INC-25).
- The name change is effective only from the date on this certificate.

Post-Change Compliances
Once the new name is approved, you must:
- Update the company name on PAN and TAN cards.
- Update GST Registration (Amendment of Core Fields).
- Update Bank Accounts.
- Update licenses (Shop & Est., IEC, FSSAI, etc.).
- Display the new name along with the old name for 2 years outside the registered office and on official documents.
